1. Agreement to these Terms

These Terms of Service (the “Terms”) govern your access to and use of the website located at furgenics.com (the “Site”) and any products, services, samples, or content offered through the Site (collectively, the “Services”). The Site and Services are operated by Furgenics (“Furgenics,” “we,” “us,” or “our”), a business based in Vaughan, Ontario, Canada.

By accessing the Site, placing an order, creating an account, requesting a sample through the Groomer Program, or otherwise using the Services, you agree to be bound by these Terms and by our Refund Policy, Privacy Policy, and Shipping Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not access or use the Site or Services.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and capable of forming a legally binding contract to use the Site or place orders. By using the Site, you represent and warrant that you meet these requirements.

We currently sell to and ship to addresses in Canada and the United States only. The Site is not directed to users in any other jurisdiction. If you access the Site from outside Canada or the United States, you do so on your own initiative and are responsible for compliance with local laws.

3. Accounts

You may be able to create an account to place orders, save addresses, and access order history. When you create an account:

You must provide accurate, current, and complete information.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account, whether or not authorized by you.
You must notify us promptly at info@furgenics.com if you suspect unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, including without limitation in cases of suspected fraud, suspected abuse of promotional codes, or violation of these Terms.

4. Products and product information

We make reasonable efforts to display product information — including ingredients, descriptions, dilution ratios, sizes, prices, and images — accurately on the Site. However:

Product images are illustrative and may not depict the exact product you receive (label revisions, packaging updates, or photography variations may occur over time).
Ingredient lists and product specifications may change as formulations are updated; the most current information is on the product label, which controls in the event of a conflict with the Site.
Color, scent, and consistency may vary slightly between batches due to natural variation in raw materials.
We do not warrant that product descriptions, pricing, or other content on the Site is accurate, complete, reliable, current, or error-free. If a product offered on the Site is not as described, your sole remedy is to return the product in accordance with our Refund Policy.

5. Orders, pricing, and payment

Order acceptance. Your order is an offer to purchase products from us. Your offer is accepted only when we send you an order confirmation email. We reserve the right to refuse or cancel any order at our sole discretion, including (without limitation) for reasons of pricing errors, product unavailability, suspected fraud, suspected reseller activity, suspected abuse of promotional codes, or any other reason. If we cancel an order after you have been charged, we will refund the full amount.

Pricing. Prices are displayed in your market’s currency based on Shopify Markets geo-detection: Canadian Dollars (CAD) on the /en-ca/ storefront and United States Dollars (USD) on the /en-us/ storefront. The price you see at checkout is the price applicable to your order in your market’s currency. Prices may change at any time without notice. Sales tax, GST/HST, PST, US state sales tax, or other applicable taxes will be added at checkout where required by law.

Payment. We accept payment through the methods listed at checkout, which are processed by Shopify Payments and may include third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method, and you authorize us to charge the full order total (including taxes and shipping) to that method.

Pricing errors. If a product is listed at an incorrect price due to typographical, technical, or supplier error, we reserve the right to cancel any orders for that product, even after order confirmation, and to issue a full refund. We will not be obligated to honour pricing that is materially different from the intended price.

6. Promotional codes and discounts

From time to time we offer promotional discount codes such as FUR50 (50% off your first order, maximum four gallons, one use per customer). Promotional codes are subject to the following:

Each code is limited to one use per customer unless otherwise stated.
Codes cannot be combined with other promotional codes unless explicitly permitted.
Codes have no cash value and cannot be redeemed for cash, sold, or transferred.
Codes may have expiry dates, minimum order requirements, product restrictions, or quantity limits as stated at the time of offer.
We reserve the right to refuse, cancel, or revoke any promotional code use that we determine, in our sole discretion, involves fraud, abuse, account-stacking, reseller activity, or other behaviour inconsistent with the spirit of the promotion.
If your order is refunded after using a first-time promotional code, you cannot reuse that code on a future order.

7. Shipping and delivery

We ship to addresses in Canada and the United States only. Shipping options, costs, and estimated delivery times are presented at checkout based on your shipping address.

Shipping times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, weather, or other circumstances outside our reasonable control. Title and risk of loss transfer to you upon delivery to the carrier.

Canadian orders ship directly from our facility in Vaughan, Ontario. United States orders are fulfilled by Amazon Fulfillment by Amazon (FBA), our US-based third-party logistics partner, which receives the order details necessary to ship within the United States. The fulfillment method does not change your relationship with Furgenics: regardless of which warehouse fulfills your order, you are purchasing from Furgenics, your payment is processed by Furgenics through Shopify Payments, and your customer-service relationship is with Furgenics.

8. Returns and refunds

Returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. In summary, we offer a 30-day refund window from the date of delivery, refunds are processed to the original payment method, and we generally do not require return shipping. The Refund Policy is the controlling document for the details.

9. Groomer Program

The Furgenics Groomer Program offers two market-specific benefits to verified professional groomers: (i) Canadian groomers receive a free 8oz product sample pack shipped from our Vaughan, Ontario facility, and (ii) United States groomers receive a first-order gallon discount, applied at checkout via a code or order adjustment. The structural difference between the two market offers reflects fulfillment-economic constraints (our US fulfillment partner does not handle non-revenue shipments) rather than a difference in program value. Participation in the Groomer Program is subject to these additional terms:

Eligibility. The Groomer Program is intended for professional groomers, grooming salon owners, salon staff, mobile grooming operators, and verified pet-care professionals operating in Canada or the United States. We reserve the right to verify your professional status before fulfilling Groomer Program benefits, including by requesting evidence such as a business license, salon affiliation, or professional certification.
One benefit per business. Each verified business is eligible for one Groomer Program benefit (one sample pack OR one first-order discount, depending on market). Multi-location groups may contact info@furgenics.com to discuss multi-location arrangements.
Sample limits (Canadian program). Sample pack contents and quantities are determined at our discretion. We may limit the number, type, or frequency of samples per recipient. Samples are shipped to verified Canadian salon addresses only.
First-order discount (US program). The first-order discount is applied to a single gallon order from a verified US groomer. Discount amount and terms are determined at our discretion and are communicated to verified applicants after verification. The discount may not be combined with other promotional codes or stacked across multiple orders.
No resale. Sample products are provided for personal evaluation use by the recipient only. Resale of samples, whether for cash, trade, or other consideration, is strictly prohibited and may result in revocation of program access and pursuit of other remedies.
No transfer. You may not transfer your Groomer Program eligibility, sample pack, or first-order discount code to another person.
Termination. We reserve the right to revoke Groomer Program access at any time, with or without cause, including (without limitation) for suspected fraud, abuse, misrepresentation of professional status, misuse of a US discount code (such as sharing with others), or violation of these Terms.
Free samples, no refunds. Because Canadian sample packs are provided at no cost, they are not eligible for monetary refunds. If a sample arrives damaged or you have a concern, contact info@furgenics.com and we may replace the sample at our discretion. For US first-order discount orders (which are paid orders), our standard Refund Policy applies.

10. Intended use of products

Furgenics products are cosmetic shampoos and conditioners formulated and intended for use on dogs only, by or under the supervision of professional groomers, salon staff, and informed consumers, applied externally in accordance with label directions. Specifically:

Products are not intended for use on humans, cats, or any animal other than dogs unless explicitly indicated on the product label.
Products are not intended for internal use, ingestion, inhalation, or application to mucous membranes.
Products are cosmetic in nature and are not veterinary medicines. They do not diagnose, treat, cure, or prevent any medical condition. Use of Furgenics products is not a substitute for veterinary care. If your dog has a diagnosed skin condition, hot spot, infection, parasite, or other medical issue, consult a licensed veterinarian before using any cosmetic grooming product.
Products are concentrates designed for dilution at ratios indicated on the product label (typically 16:1 unless otherwise specified). Use of undiluted concentrate may cause skin irritation and is not recommended.
You must follow label directions and all reasonable safety precautions when using Furgenics products. Misuse, including use contrary to label directions or for purposes other than intended, voids any product-related claims and is your sole responsibility.

11. Allergic reactions and skin sensitivities

Like any cosmetic or grooming product, Furgenics products may cause allergic reactions, skin irritation, or other adverse reactions in a small number of dogs, even when used as directed. Individual animals may react unpredictably to ingredients that are well-tolerated by most dogs. We make no warranty that our products will be tolerated by every dog.

Before using a Furgenics product on a dog for the first time:

Review the product label and full ingredient list (visible on the product page or on the product packaging).
Perform a patch test by applying a small amount of properly diluted product to a small area of the dog's skin and observing for 24 hours before full use.
Discontinue use immediately if any signs of irritation, redness, swelling, excessive scratching, or unusual behaviour occur.
Consult a licensed veterinarian if any adverse reaction occurs or if you have concerns about your dog's suitability for the product.

Furgenics is not liable for adverse reactions resulting from (i) use of products contrary to label instructions; (ii) use on dogs with pre-existing skin conditions not previously evaluated by a veterinarian; (iii) use in combination with other products not recommended for concurrent use; (iv) use after the product's expiry or stability date; (v) failure to perform a patch test prior to first use; or (vi) any other use that does not conform to the intended use described in Section 10.

If your dog experiences an adverse reaction to a Furgenics product, please contact info@furgenics.com. We will refund the product purchase price under our Refund Policy regardless of the cause of the reaction. This refund commitment is a customer-service practice and is not a representation that the product caused the reaction or an admission of liability.

12. Acceptable use

When using the Site or Services, you agree not to:

Use the Site or any of its content for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
Use any robot, spider, scraper, or other automated means to access the Site or extract data, except for legitimate search-engine indexing.
Interfere with or disrupt the operation of the Site or the servers or networks connected to it.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Submit false or misleading information, including in account creation, order placement, Groomer Program applications, or product reviews.
Resell Furgenics products outside of authorized channels, or otherwise engage in activities that we determine constitute reseller behaviour, including bulk-purchasing for the purpose of unauthorized resale.
Use, copy, modify, distribute, or create derivative works of any content on the Site (including text, images, logos, designs, or audio) except as expressly permitted by these Terms.
Use Furgenics' name, trademarks, logos, or product images in advertising, promotional materials, or any commercial context without our prior written permission.

Violation of this Section 12 may result in account termination, refusal of orders, revocation of Groomer Program access, and other remedies available to us under applicable law.

13. User submissions

If you submit a product review, photograph, video, comment, or other content (“User Content”) to the Site or to Furgenics through any channel (including email or social media tags using our handle):

You grant Furgenics a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display the User Content in any media now known or later developed, including for marketing and promotional purposes.
You represent and warrant that you own or have all necessary rights to the User Content and that the User Content does not infringe any third-party rights.
You agree that User Content is not confidential and that we have no obligation to keep it private, return it to you, or pay you for it.
We have no obligation to publish, display, or retain any User Content and may remove, edit, or refuse to publish User Content at our sole discretion.
You will not submit User Content that is false, misleading, defamatory, infringing, obscene, harassing, or otherwise unlawful.

14. Intellectual property

All content on the Site, including (without limitation) text, images, photographs, logos, trademarks, product names, formulations, ingredient combinations, product designs, packaging, web design, code, and the Furgenics name and brand identity, is the property of Furgenics or its licensors and is protected by Canadian, United States, and international copyright, trademark, trade dress, and other intellectual property laws.

“Furgenics” and the Furgenics logo are trademarks of Furgenics. All other product names, logos, and brand names mentioned on the Site are the property of their respective owners. Reference to third-party brand names on the Site is for descriptive or comparative purposes only and does not imply endorsement, affiliation, or sponsorship.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for personal, non-commercial use, and to print or download single copies of pages for your personal reference. You may not otherwise copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, transmit, sell, or commercially exploit any content from the Site without our prior written permission.

You may not use Site content — including but not limited to product descriptions, dilution math, comparison guides, and the grooming guides — to train artificial intelligence or machine learning models, whether via systematic scraping or otherwise, without our prior written permission. Bona fide search-engine indexing for traditional search functionality is permitted.

Groomer Program participants and other professional partners may not use Furgenics' marks, logos, product images, or content in their own advertising or marketing materials without prior written permission, which may be granted at our discretion subject to brand-use guidelines.

15. Third-party services and links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Furgenics. We are not responsible for the content, privacy practices, or terms of any third-party website or service. Your use of third-party websites or services is at your own risk and subject to their terms.

We use third-party providers (including without limitation Shopify for e-commerce platform, checkout, and payments; Shopify Markets for currency and market-routing; Amazon Fulfillment by Amazon (FBA) for United States order fulfillment; and various shipping carriers for delivery) to operate the Services. Your relationship with these providers, where applicable, is governed by their own terms. We are not liable for the actions or omissions of third-party providers, except to the extent that we have direct contractual responsibility for them.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FURGENICS, ITS AFFILIATES, AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING (WITHOUT LIMITATION) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, FURGENICS MAKES NO WARRANTY THAT (a) THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS; (b) THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE INFORMATION ON THE SITE WILL BE ACCURATE OR RELIABLE; (d) ANY PRODUCT, SERVICE, OR OTHER MATERIAL OBTAINED THROUGH THE SITE WILL MEET YOUR EXPECTATIONS; OR (e) ANY ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED.

Nothing in these Terms is intended to exclude or limit any condition, warranty, right, or liability that may not be lawfully excluded or limited under applicable law. In particular, nothing in these Terms limits any rights you may have under the consumer protection legislation of your province or state of residence, including (in Canada) the consumer protection legislation of your province or territory and (in the United States) any non-waivable consumer rights under the law of your state.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FURGENICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING (WITHOUT LIMITATION) DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

(a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES;
(b) ANY PRODUCT PURCHASED THROUGH THE SITE, INCLUDING ANY ADVERSE REACTION OR HARM TO ANY ANIMAL OR PERSON ARISING FROM USE OR MISUSE OF THE PRODUCT;
(c) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SITE;
(d) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
(e) ANY DELAYS, FAILURES, OR INTERRUPTIONS IN SHIPPING OR FULFILLMENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FURGENICS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING THE FOREGOING, IN NO EVENT SHALL FURGENICS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE, SERVICES, OR PRODUCTS EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID FURGENICS FOR THE PRODUCTS GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of incidental, consequential, or certain other damages, and some do not allow limitations on implied warranties or how long an implied warranty lasts. To the extent that any provision of this Section 17 is held unenforceable in your jurisdiction, the limitation will apply to the maximum extent permitted by law, and the remaining provisions will continue in full force.

Nothing in these Terms excludes or limits Furgenics' liability for death or personal injury caused by Furgenics' negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Furgenics, its officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

(a) your access to or use of the Site, Services, or products;
(b) your violation of any term of these Terms or any policy incorporated by reference;
(c) your violation of any third-party right, including any intellectual property, privacy, or property right;
(d) any claim arising from harm caused to a dog or other animal under your care, where such harm is alleged to have resulted from use or misuse of a Furgenics product;
(e) any claim arising from your User Content;
(f) your unauthorized resale of Furgenics products or unauthorized use of Furgenics' marks, logos, or content.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.

19. Termination

We may terminate or suspend your access to the Site, your account, your Groomer Program access, or any specific feature of the Services at any time, with or without notice, with or without cause, in our sole discretion. Reasons for termination may include (without limitation) suspected fraud, suspected abuse of promotional codes, violation of these Terms, suspected reseller activity, or any other reason we deem appropriate.

Upon termination, your right to use the Site or Services ends immediately. Provisions of these Terms that by their nature should survive termination — including (without limitation) Sections 13 (User Submissions), 14 (Intellectual Property), 16 (Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), 21 (Governing Law), 22 (Dispute Resolution), and 23 (General Provisions) — will survive.

20. Changes to these Terms

We may modify these Terms at any time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we may also provide additional notice (such as an email to account holders or a banner on the Site).

Your continued use of the Site or Services after any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site and Services.

It is your responsibility to review these Terms periodically for changes.

21. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Site, Services, or products shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

The parties agree that the courts of the Province of Ontario, sitting in the City of Toronto, shall have non-exclusive jurisdiction to hear and determine any dispute arising under these Terms. You consent to the personal jurisdiction of such courts. Furgenics may, at its option, also bring proceedings in any other jurisdiction in which you reside, are domiciled, or have assets.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

22. Dispute resolution

Informal resolution first. Before filing any claim, you agree to first contact us at info@furgenics.com and attempt in good faith to resolve the dispute informally. We will likewise attempt to resolve any dispute we have with you informally before initiating formal proceedings. The informal-resolution period is 30 days from the date the dispute is first raised.

Class action waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIM YOU BRING AGAINST FURGENICS WILL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator or court, as applicable, may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If this class action waiver is found to be unenforceable in your jurisdiction (including, in some cases, in consumer disputes under provincial consumer-protection legislation), then the waiver shall not apply to that portion of the dispute, but the remainder of these Terms (including the governing law and jurisdiction provisions of Section 21) shall continue to apply to the maximum extent permitted by law.

23. General provisions

Entire agreement. These Terms, together with the Refund Policy, Privacy Policy, Shipping Policy, and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Furgenics regarding the Site, Services, and products, and supersede all prior or contemporaneous communications and proposals.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, that provision shall be severed and the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Furgenics.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms freely, including (without limitation) in connection with a merger, acquisition, sale of assets, or by operation of law.

Force majeure. We will not be liable for any failure or delay in performing our obligations under these Terms when the failure or delay results from causes beyond our reasonable control, including (without limitation) natural disasters, war, terrorism, civil unrest, government action, labour disputes, supply chain disruptions, internet or carrier outages, pandemic-related disruption, or acts of third parties.

Notices. We may provide notices to you by email to the address associated with your account or by posting on the Site. You may provide notice to us by email to info@furgenics.com.

Headings. Section headings are for convenience only and do not affect interpretation.

Language. These Terms are drafted in English. Any translated version is provided for convenience only; the English version controls in the event of conflict.
